Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AdaptBooks platform operated by Adaptensor, Inc. ("Adaptensor," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using AdaptBooks, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.

2. Description of Service

AdaptBooks is a cloud-based point-of-sale, inventory management, and accounting platform for small businesses. The Service includes web and mobile applications, APIs, integrations, AI-powered features, and related documentation. We may update, modify, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Subscription and Payment

AdaptBooks offers subscription plans billed monthly. Prices are listed on our Pricing page and may change with 30 days' notice. Your subscription automatically renews each billing period unless you cancel before the renewal date. Refunds are available for the current billing period if requested within 14 days of charge. All fees are exclusive of applicable taxes, which will be added to your invoice as required by law.

5. Free Trial

New accounts receive a 30-day free trial with full access to the subscribed plan's features. No credit card is required for the trial. At the end of the trial, your account will be downgraded to read-only access until a subscription is activated. Your data is preserved during this period.

6. Your Data

You retain all ownership rights to your business data. By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service. We will not access your data except as necessary to provide support (with your permission), comply with legal obligations, or enforce these Terms. You may export your data at any time in standard formats (CSV, PDF).

7. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable law
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse-engineer, decompile, or disassemble any portion of the Service
  • Use the Service to store or transmit malicious code, viruses, or harmful data
  • Interfere with or disrupt the integrity or performance of the Service
  • Resell, sublicense, or distribute the Service without written permission
  • Use automated tools to scrape, mine, or extract data from the Service beyond normal API usage

8. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is the property of Adaptensor, Inc. and is protected by copyright, trademark, and other intellectual property laws. "AdaptBooks," "Adaptensor," "AdaptGent," and associated logos are trademarks of Adaptensor, Inc. Nothing in these Terms grants you any right to use our trademarks without prior written consent.

9. Third-Party Services

The Service may integrate with third-party services such as payment processors, authentication providers, and AI services. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service Availability and Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice. Support is provided via email and the in-app AdaptGent AI assistant. Response times vary by plan level. Enterprise customers receive SLA-backed support with guaranteed response times.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. ADAPTBOOKS IS NOT A SUBSTITUTE FOR PROFESSIONAL ACCOUNTING OR TAX ADVICE. YOU ARE RESPONSIBLE FOR VERIFYING THE ACCURACY OF YOUR FINANCIAL RECORDS AND CONSULTING QUALIFIED PROFESSIONALS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADAPTENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Adaptensor, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

You may cancel your account at any time from the Settings page. We may suspend or terminate your access if you violate these Terms, fail to pay subscription fees, or if required by law. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be deleted.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arkansas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Arkansas. Each party shall bear its own costs, with arbitration fees split equally.

16. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17. General Provisions

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision does not constitute a waiver. These Terms constitute the entire agreement between you and Adaptensor regarding the Service. No agency, partnership, or employment relationship is created by these Terms.
